Headquartered in Chicago, HUB is currently owned by a group of investors led by lead investor Hellman & Friedman, one of the world’s largest and most respected private equity firms that recently closed the largest PE fund of 2021 and one of the largest funds of all time.About the Position:This is a unique opportunity for an attorney with experience in equity compensation and corporate governance to join a multi-billion-dollar, high growth, dynamic company with a similarly dynamic and growing legal department and to perform critical work, including leading the administration of the Company’s equity, equity incentive plans, and the employee equity purchase plan (in conjunction with a small team of paralegals that support those functions), supporting material debt, investment, and equity related transactions, and maintaining HUB’s corporate governance. The ideal candidate for this position will have excellent communication and technical skills, the ability to thrive in a team environment, and work independently with initiative and drive.The Assistant General Counsel will support all manner of equity administration matters with responsibility to prepare grant documents in connection with transactions and other initiatives of the company and oversee the day-to-day activities in administering the company’s equity program and provide support with respect to the company’s corporate governance and blue-sky related questions. Exposure to debt and investment transactions is a plus, but not required.Principal Duties:Provide sound, timely, and comprehensive legal advice to internal clients on executive compensation, particularly as it relates to equity compensation.Manage an internal team as well as a contract Equity Plan Management Platform resource in support of the Company’s equity compensation program.Primary “owner” of the Company’s Equity Plan Management Platform (Solium Shareworks).Provide legal support to the Company’s Employee Equity Purchase Plan.Maintain forms of subscription and other equity-issuance agreements.Establish and maintain processes for handling requests to transfer equity awards to estate planning vehicles.Oversight of equity holder engagement management and tracking of issues critical to equity holders.Respond to equity inquires and coordinate with internal teams and vendors, as appropriate, to resolve issues.Draft, review and arrange agreements and other documents in connection with various transactions and projects (generally equity related, like dividend distributions, tender offers or Employee Equity Purchase Plan transactions). Otherwise support (with other HUB attorneys and external counsel) varied business and financial/debt transactions.Oversee all blue-sky fillings (with external support) and compliance with the Company’s Accredited Investor program.Work with individuals at all levels in the company, from administrative staff to executives.Support corporate initiatives and subsidiary management and coordinate the formation of additional corporate entities in support of the business.Prepare or supervise the preparation of corporate documents, such as minutes, consents, resolutions, certificates, charters, and policies.Collaborate with, advise, and support a broad range of departments and functions, including finance, accounting, tax, and others as needed.Support environmental, social and governance (ESG) efforts.Contract review and negotiation.Support the company’s Chief Legal Officer in reviewing HUB’s debt transaction documents.The essential duties contained in this job description reflect general details as necessary to describe the principal functions of this job, the level of knowledge and skill typically required and the scope of responsibility.
