Analyze M&A transactions and advise our multi-disciplinary team of business and insurance professionals on the legal implications and risks regarding the same. Conduct and leverage legal analyses to make both legal and commercial decisions relating to transactional insurance coverage with respect to complex domestic and cross-border transactions. Manage deal processes with outside legal counsel and in-house underwriting professionals. Evaluate insurance regulatory requirements for insurance agency operations. Analyze legal ramifications of changes to insurance policy provisions under laws of applicable jurisdictions. Review and understand transaction documents and risks associated with M&A transactions. Communicate and negotiate policy terms with lawyers, clients, and brokers. Prepare and present informational materials relating to transactional insurance and the company’s specific product offerings, ensuring adherence to applicable laws.Requirements: Juris Doctor in Law plus 2 years of work experience as a Merger & Acquisitions Associate or related position involving legal risk analysis of Mergers & Acquisitions. Will also accept a Bachelor’s degree in Law or a related field and 6 years of experience in a role involving legal risk analysis of Mergers & Acquisitions. Work experience must include: Reviewing purchase agreements and due diligence materials related to Mergers & Acquisitions; and, risk analysis of deal documents.
